Welcome to CPAHub North Inc. (“CPAHub North” or “the Company”). CPAHub North is our primary platform, both native and web-based, dedicated to providing professional education tailored for Certified Public Accountants (CPAs). CPAHub North Inc. is the legal entity behind the development of CPAHub North.

These terms and conditions govern the use of our Websites, Applications, and Services, forming a binding agreement between CPAHub North and you. By accessing our Websites and Applications, registering as a User, or utilizing our Services, you confirm your understanding and agreement to abide by these terms.

    1- Eligibility

    These Terms apply to all individuals, whether natural persons or legal entities, accessing our Websites, Applications, or Services. If you represent an entity, you affirm that you have the authority to bind the entity to these Terms. Additionally, you must not be a competitor of CPAHub North or utilize our Services for competitive purposes.

    You must also meet the legal age requirements to enter into a binding agreement with the Company. Failure to meet these criteria prohibits the use, registration, or access to our Websites, Applications, or Services.

    By accessing our platforms, registering as a User, or using our Services, you acknowledge and agree to these Terms. Non-agreement with these Terms prohibits access to our platforms and Services.

    2- Acceptance of Terms

    CPAHub North offers Services through various platforms owned by the company and accessible through third parties. Your use of these platforms and Services is contingent upon your acceptance and compliance with these Terms.

    Furthermore, additional guidelines or rules may apply to specific Services, supplementing these Terms. Users entering into agreements with the Company, such as a Software as a Service Agreement (SaaS Agreement),are bound by both these Terms and the respective agreement.

    Certain Services may have unique terms and conditions (Special Terms) which, when applicable, take precedence over these Terms. It's essential to review and understand all applicable terms and conditions.

    3- Modifications to the Terms

    The Company reserves the right to modify these Terms at its discretion without prior notice. Continued use of our platforms and Services following any modifications indicates acceptance of the updated Terms.

    Users are encouraged to periodically review the Terms for any changes. The last update to these Terms was on March 7, 2022. Disagreement with any amendments to the Terms prohibits further access to our platforms and Services.

    Changes to the content and materials on our platforms may occur at any time without notice. The Company is not liable for any restrictions or unavailability of our platforms or Services.

    4- Security & Privacy Policy

    CPAHub North prioritizes the security and integrity of user information. While proactive measures are taken to protect personal information, the Company cannot guarantee protection against unauthorized access.

    Users are encouraged to review the Privacy Policy for detailed information on data collection, storage, and usage practices. By consenting to these Terms, users acknowledge understanding and agreement to the Privacy Policy.

    Users must not provide personal information belonging to others without proper consent. Compliance with applicable laws regarding personal information sharing is essential.

    5- Registration Obligations

    To access specific areas of our platforms and use our Services, users must complete the registration process and create an Account. This includes selecting a unique username and password (Credentials).

    Maintaining the confidentiality of Credentials is the user's responsibility, and any unauthorized use or disclosure of Credentials may result in harm. Users are required to notify CPAHub North immediately of any suspected unauthorized access.

    During registration, users must provide accurate and current information. Failure to do so may result in the suspension or termination of the Account. It is also recommended to create strong passwords to enhance Account security.

    The Company may act on communications received through user Accounts or Credentials. Verification of user identity may be required at the Company's discretion. Insecure or inappropriate use of Accounts may lead to immediate cancellation by the Company.

    Users may be required to update Credentials periodically, and access to Services may be restricted for inactive Accounts.

    6- Suspension, Termination, Site Monitoring and Enforcement

    The Company reserves the right to interrupt, suspend, disable, or terminate user accounts, identifiers, or access to Services at its discretion, in cases of Terms violation or legal non-compliance.

    Provisions within these Terms intended to survive termination or expiration shall do so, including sections related to Subscription, Intellectual Property, Warranties, Indemnity, Limitation of Liability, Governing Law, Arbitration, and Choice of Jurisdiction.

    7- Service Description

    CPAHub North offers a web-based and native platform providing designated and non-designated accounting professionals with streamed self-study series of videos, audio streams, and podcasts. Services may include access to and the ability to view or listen to self-study series streamed over the Internet.

    The provision of Services is subject to these Terms and payment of applicable fees. Changes to Services may occur without prior notice, and CPAHub North is not liable for any modifications, suspensions, or discontinuations of Services.

    Users are responsible for ensuring that accessed content is recognized and verifiable in their respective jurisdictions. Content eligibility for CPD/CPE hours may vary, and users are advised to confirm eligibility with their governing bodies.

    8- User Generated Content

    Feedback provided by users is not considered confidential and may be used, disclosed, or exploited by the Company without compensation. Users grant the Company a perpetual, worldwide, fully sublicensable right to utilize provided feedback.

    Access to our platforms and Services provides the Company with user-related information and data, subject to our Privacy Policy. The Company exclusively owns all rights to metadata derived from user data.

    9- No Reliance

    Users acknowledge that content on our platforms is not intended as professional advice and should not be relied upon as such. The Company does not guarantee the accuracy, completeness, or currency of the information provided and accepts no liability for errors or omissions.

    Efforts are made to ensure content eligibility and verifiability in Canada. However, users are responsible for verifying content acceptance with their governing bodies.

    10- Restrictions & Acceptable Use

    Users agree to use our platforms and Services for lawful purposes in accordance with these Terms and applicable laws. Prohibited activities include infringement of intellectual property rights, malicious or harmful actions, and unauthorized use of content.

    Users must not engage in activities such as spamming, interfering with platform integrity, or impersonating others. Interaction with other users is the user's responsibility, and the Company is not liable for user interactions or actions.

    11- Subscription

    -Subscription Fee

    Services are available on a limited or unlimited usage basis, depending on the subscription term or until the end of the calendar year for offers that grant unlimited access, a set amount of minutes/credits/data content, or a limited block of hours to meet your CPD/CPE requirements. The current offers can be found in the pricing section on our Websites and Applications at the time of your subscription. It is your responsibility to review and confirm these offers, which may be updated at CPAHubNorth’s discretion. The pricing applicable to your subscription will not be modified by previous or subsequent offers until renewal. Upon selecting a package, you will be directed to a third-party payment processor site where your financial information may be required. Payment is made in full and in advance or according to the net terms of the invoice.

    Your subscription will be valid as outlined in the package you choose, typically until the end of the current calendar year, the expiration of a set number of months or twelve (12) months, or until the allotted minutes/hours/content have been used, whichever comes first. You must ensure you can use all the hours you are subscribing to before consenting to the payment of the Subscription Fee.

    Upon payment for the Services (the “Subscription Fee”),and subject to the Terms and the SaaS Agreement, if applicable, you will be granted a non-exclusive, limited, non-transferable, non-sublicensable, revocable license(s) and/or credits/hours to access and use the Services or specific features of the Services on a subscription basis in strict compliance with the Terms (the “Subscription”).

    - Terms & Renewal

    The Subscription starts on the date the Subscription Fee is invoiced or billed by CPAHubNorth and ends based on the type of subscription purchased, unless specified otherwise in your chosen package (the “Term”). The Terms will automatically renew within 24 hours on the day after the expiration of the period, each year, for a successive 12-month or calendar year period (the “Renewal Term”),unless you notify CPAHubNorth in writing of your request to cancel the Services before the Renewal Term or within 10 business days after the automatic renewal.

    You acknowledge that CPAHubNorth may change the Subscription Fee from time to time and will communicate any changes by updating the pricing section on its Websites and Applications. If the Subscription Fee changes since you registered, the new Subscription Fee will take effect at renewal. You are responsible for reviewing the revised pricing and terms of use on our Websites and Applications before the renewal date of the current Term. Depending on your payment method/third-party processor, you may receive a notice and an invoice before renewal. The renewal notice will inform you of any increase in the Subscription Fee since the last calendar year. If your payment method does not require an invoice, the updated Subscription Fee will be charged on the renewal date without prior notice, unless you inform CPAHubNorth in writing of your intent to terminate your subscription before the renewal date. You authorize CPAHubNorth to instruct your chosen payment processor to charge your Account and process payment on the first day of the Renewal Term or as soon as possible thereafter. By not canceling, nor objecting to the increase and continuing to use your Subscription and Services after the renewal date, you accept the new pricing.

    You authorize CPAHubNorth to maintain your Account information according to the Terms and the Privacy Policy. If there is a default or issue with the payment of the Subscription Fee at renewal, CPAHubNorth may bill you for the Services and suspend your access until payment is received.

    From time to time, CPAHubNorth may issue one-time discount codes, coupons, or other special rates (“Special Rates”),valid under specific terms and conditions (“Specific Terms and Conditions”). Such Special Rates are only valid between the specified dates and times. The Special Rates will not apply to existing subscriptions. CPAHubNorth reserves the right to expire such Special Rates at its discretion if no duration or expiration is specified.

    - No Refunds

    You may cancel your Account at the end of the current term by providing prior notice in writing to CPAHubNorth; however, due to the nature of the Services, there are no refunds for cancellation. Accordingly, no refunds or credits of any kind will be provided. If CPAHubNorth suspends or terminates your Account or these Terms due to your breach, or if the term expires before you meet all your professional development requirements or use up all your hours or credits, you will receive no refund or exchange for any unused time, Subscription Fees for any portion of the Services, User Content, CPAHubNorth Content, data associated with your Account, or anything else. If you did not opt for a payment method where a third-party processor will automatically process renewal payment, please contact us directly via email.

    - Dispute Payment

    To access any portion of the Services for a fee, you will need to select a payment method and be redirected to a payment processor where you will be subject to the terms and conditions and privacy policies of that processor. You must provide accurate and current information as required. CPAHubNorth does not store your payment information nor verify it. You are responsible for updating your billing information promptly. An invoice will be issued to both CPAHubNorth and yourself by the third-party processor. Before or upon renewal, we will issue an invoice ahead of the Term's expiration, payable by the expiry date of the Term. Updated pricing at the time of renewal will apply.

    You represent and warrant that you are authorized to use the payment instrument. You agree that CPAHubNorth will instruct payment processors to process payment at renewal unless you have opted out or canceled as provided herein. If CPAHubNorth is required by a taxing authority to pay any taxes not previously collected from you, you will promptly submit such taxes, including applicable penalties and interest, if any, to CPAHubNorth upon written notice.

    Late payments may incur interest at the rate of 1% above the prime rate per month, accruing annually from the payment due date until paid in full. You will be responsible for all reasonable expenses, including legal fees, incurred by CPAHubNorth in collecting outstanding amounts.

    If you dispute any charges, you must inform CPAHubNorth within 30 days of the date charged. CPAHubNorth reserves the right to reject any payment instrument at its sole discretion.

    12- E-Communications

    By registering as a User or agreeing to the Terms, you consent to receiving certain electronic communications from us, as detailed in our Privacy Policy. Please review our Privacy Policy to understand our electronic communication practices. You agree that any notices, agreements, disclosures, or other communications we send to you electronically will fulfill any legal requirements, including the need for such communications to be in writing.

    We may use your personal information to send you emails and other communications about our Services, offerings, news, and opportunities. If you prefer not to receive these communications, you can "unsubscribe" using the link provided in the communications, or by contacting us at [email protected].

    13- Indemnity

    You agree to indemnify, defend and hold CPAHubNorth and its affiliates, agents, licensors, and their employees harmless from any claims, damages, costs, losses, expenses or liabilities including attorney's fees (collectively, “Losses”),arising from: (i) your use of the Websites, and/or Services, or any unauthorized use of your account or credentials; (ii) any data or content transmitted or received by you, including User Content and Service Data; (iii) your violation of these Terms, including any representations and warranties; (iv) your violation of third-party rights, including privacy or Intellectual Property Rights; (v) your violation of applicable laws, rules, or regulations; (vi) any claims or damages resulting from your User Content or any content submitted via your account; (vii) another party's access and use of the Services with your account or login information; or (viii) using CPAHubNorth Content or materials in any way not expressly permitted by the Terms. CPAHubNorth reserves the right to participate in the defense and settlement negotiations of any third-party claim at its own expense, and you should not settle any claim without CPAHubNorth’s prior written approval.

    14- Limitation of Liability

    EXCEPT WHERE PROHIBITED BY LAW, NEITHER CPAHubNorth NOR ITS AFFILIATES, AGENTS, LICENSORS, NOR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSEES, SUPPLIERS, OR SUCCESSORS WILL BE LIABLE FOR NEGLIGENCE, GROSS NEGLIGENCE, NEGLIGENT MISREPRESENTATION, FUNDAMENTAL BREACH, OR DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, PROFITS, BUSINESS, ANTICIPATED SAVINGS, USE, GOODWILL, DATA, OR DAMAGES CAUSED BY TORT (INCLUDING NEGLIGENCE),BREACH OF CONTRACT, BREACH OF PRIVACY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, INABILITY TO USE, OR RELIANCE ON THE WEBSITES, APPLICATIONS, AND/OR SERVICES, ANY LINKED WEBSITES, OR ANY WEBSITE CONTENT, MATERIALS, POSTINGS, OR INFORMATION.

    CPAHubNorth IS NOT LIABLE FOR DELAYS, INTERRUPTIONS, SERVICE FAILURES, OR OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET, ELECTRONIC COMMUNICATIONS, TELECOMMUNICATIONS NETWORKS, OR OTHER SYSTEMS OUTSIDE CPAHubNorth’s CONTROL.

    15- Force Majeure

    CPAHubNorth will not be considered in default or breach of these Terms and will be excused from performance or liability for damages to any party if prevented from performing due to any act of God, labor disturbance, pandemic, epidemic, sabotage, supplier failure, public enemy act, war, invasion, insurrection, riot, fire, storm, flood, ice, earthquake, explosion, epidemic, machinery or equipment breakage, or any other cause beyond CPAHubNorth’s reasonable control. This includes government, military, or civilian authority curtailment, order, regulation, or restriction, or emergency repairs on property or equipment. A Force Majeure event does not include negligence or Intentional Wrongdoing.

    16- Exclusions

    CPAHubNorth DOES NOT GUARANTEE ANY RESULTS FROM USING THE SERVICES OR ACCESSING THE WEBSITES AND APPLICATIONS. THE WEBSITES, APPLICATIONS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CONTENT, INCLUDING INFORMATION, DOCUMENTS, COURSES, OR MATERIALS AVAILABLE THROUGH THE WEBSITES AND APPLICATIONS AND/OR SERVICES, IS FOR INFORMATIONAL PURPOSES ONLY AND NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. NO INFORMATION FROM CPAHubNorth WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. CPAHubNorth DOES NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE, OR ERROR-FREE; THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; BE AVAILABLE AT ANY TIME OR LOCATION; BE UNINTERRUPTED OR SECURE; THAT DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT FILES OR DATA AVAILABLE FOR DOWNLOAD ARE FREE OF VIRUSES OR HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK, AND YOU ARE RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA. YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF THE WEBSITES, APPLICATIONS, AND YOUR COMPUTER, INTERNET, AND DATA SECURITY.

    CPAHubNorth DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE CPAHubNorth SERVICES, WEBSITES, OR APPLICATIONS, OR ANY HYPERLINKED WEBSITE. CPAHubNorth WILL NOT BE A PARTY TO OR MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS.

    CPAHubNorth IS NOT RESPONSIBLE FOR DIRECT, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OUR SERVICES, SOFTWARE AVAILABLE FOR DOWNLOAD, OR THE PURCHASE OR LICENSE OF ANY GOODS OR SERVICES RELATED TO THE SERVICES.

    CPAHubNorth DOES NOT WARRANT THAT YOUR USE OF THE SERVICES WILL COMPLY WITH ANY REGULATORY, PROFESSIONAL, OR LEGAL OBLIGATIONS. YOU ARE RESPONSIBLE FOR ENSURING YOUR USE OF THE SERVICES COMPLIES WITH APPLICABLE LAWS AND PROFESSIONAL OBLIGATIONS.

    17- Disputes, Arbitration, Choice of Forum

    Your satisfaction with the Services is important to CPAHubNorth. If you have a complaint, you must first submit it directly to CPAHubNorth at [email protected]. CPAHubNorth will review and respond as soon as possible.

    If unresolved within 30 days, you agree to resolve the complaint by final and binding arbitration in Ontario, Canada, under Ontario's commercial arbitration laws and rules. The complaint will not be subject to court action unless first submitted to arbitration. Any subsequent court action will only enforce the arbitration decision.

    18- General

    i. Geographic Restriction: The Services are controlled and operated by CPAHubNorth within Canada. CPAHubNorth makes no representations that the Services or materials available are appropriate or available for use outside Canada, the United States, and Bermuda. Access from other locations is at your initiative and responsibility.

    ii. Governing Law: The Terms and disputes are governed by Ontario's laws and Canada’s federal laws, excluding principles of conflicts of laws. The UN Convention on Contracts for the International Sale of Goods is excluded.

    iii. Assignment: The Terms and rights and licenses granted may not be transferred or assigned by you but may be assigned by CPAHubNorth without restriction. Any unauthorized assignment by you is null and void. The Terms benefit permitted successors and assigns.

    iv. Relationship of the Parties: Nothing in the Terms makes either party a partner, employer, contractor, or employee of the other. Neither party has authority to make binding statements, representations, or commitments for the other except as provided or authorized in writing.

    v. Notification Procedures: CPAHubNorth may provide notifications via email, written notice, or conspicuous posting on our website, as determined in its sole discretion. You may opt-out of certain notifications as described in the Terms. CPAHubNorth is not responsible for email filtering. Add [email protected] to your address book to ensure receipt.

    vi. Entire Agreement: The Terms, together with the Privacy Policy and referenced documents, contain the entire agreement and supersede all prior agreements. This does not apply to existing SaaS agreements between CPAHubNorth and third parties.

    vii. Severability: If any provision of the Terms is invalid, the remaining provisions remain in effect.

    viii. No Waiver: No waiver of any term will be deemed a further or continuing waiver, and CPAHubNorth's failure to assert any right or provision will not constitute a waiver.
